1. Introduction and Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Upopy SASU ("we," "us," or "our") services, including our website and any software provided on or in connection with our services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Feedbask provides embeddable widgets to handle user feedbacks on your website, including NPS (Net Promoter Score), CSAT (Customer Satisfaction), and custom questions. We offer different subscription plans to access and use our service. The detailed features of each plan are described on our pricing page.

3. User Registration and Account

To use the Service, you must register and create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for any activities or actions under your account.

Accounts are created using Google Authentication. You are responsible for maintaining the security of your Google account credentials and for any actions taken using your account.

4. Payment and Fees

The prices for our services exclude taxes. Payments are processed through Stripe. By subscribing to a paid plan, you agree to pay all fees associated with your selected plan. We offer monthly and annual subscription options.

All subscription fees are billed in advance. For monthly subscriptions, your payment method will be charged at the beginning of each monthly period. For annual subscriptions, your payment method will be charged at the beginning of each annual period.

Pricing and features for each plan are subject to change. We will notify you of any changes in pricing at least 14 days before they take effect.

5. Subscription Renewal and Cancellation

All paid subscriptions automatically renew unless cancelled by you. For monthly subscriptions, your subscription will automatically renew each month until you cancel. For annual subscriptions, your subscription will automatically renew each year until you cancel.

You can cancel your subscription at any time through your account dashboard or by contacting us contact@feedbask.com. Upon cancellation, your subscription will remain active until the end of your current billing period. After that date, your account will be downgraded to the free plan with limited features.

We do not provide refunds for partial subscription periods or for periods after cancellation takes effect.

6. Refund Policy

Due to the nature of digital services and the availability of free plan, we do not offer refunds for subscription fees. All payments are non-refundable, and there are no refunds or credits for partially used subscription periods.

In exceptional circumstances, we may consider issuing a refund at our sole discretion. Please contact our support team if you believe your situation warrants special consideration.

7. Use of the Service

You are authorized to use the Service to create and manage feedback widgets. You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations.

8. User Obligations

You agree to use the Service only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Service. Prohibited behavior includes harassing or causing distress or inconvenience to any other user, transmitting obscene or offensive content, or disrupting the normal flow of dialogue within our Service.

You are responsible for ensuring that your feedback widgets comply with all applicable laws, including but not limited to data protection and privacy laws. You must provide appropriate notices and obtain necessary consents from your website visitors before collecting feedback through our widgets.

9. Termination

You may terminate your account at any time by cancelling your subscription and requesting account deletion through your account dashboard. Termination of your account will result in the deactivation of all your widgets and the deletion of your account information.

We reserve the right to suspend or terminate your access to the Service at any time for any reason, including but not limited to a violation of these Terms, without notice. Upon termination, your right to use the Service will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Intellectual Property

The Service and all its elements (logos, texts, features, etc.) are the exclusive property of Upopy SASU. Users retain their rights to their content and promotional materials. Users agree to respect the intellectual property rights of users in their use of promotional materials.

You retain all rights to the feedback data collected through our widgets. By using our Service, you grant us a limited license to store, process, and display this data as necessary to provide the Service to you.

11. Personal Data

Your personal data is collected and used in accordance with our Privacy Policy. We comply with GDPR and applicable data protection laws.

As described in Section 10, you are the data controller for the feedback data collected through our widgets, and Upopy SASU is the data processor. We will only process this data in accordance with your instructions and as necessary to provide the Service.

12. Liability

Upopy SASU is not responsible for content published by users or user website's visitors. Users are responsible for their widgets and compliance with applicable laws. Users are responsible for their actions and compliance with program terms.

To the maximum extent permitted by applicable law, Upopy SASU shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our website prior to the changes becoming effective. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the revised Terms.
